FINJPX Capital Management LLC – Comprehensive User Agreement

PLEASE READ THIS USER AGREEMENT CAREFULLY. BY ACCESSING OR USING THIS APPLICATION OR ANY OF OUR SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE OUR SERVICES.

This User Agreement ("Agreement") is entered into by and between you ("User", "You", "Your") and FINJPX Capital Management LLC ("FINJPX", "We", "Our", "Us"), a registered Capital Management Firm, for the use of the FINJPX Web and Mobile Application (“Platform”).

1. Acknowledgement and Scope

By creating an account or accessing the FINJPX Platform, you acknowledge and agree that FINJPX is a Capital Management Firm and not a public bank. The services rendered involve the management, deployment, and strategic allocation of your capital across diversified investment vehicles and technologies, including but not limited to Artificial Intelligence (AI) driven tools and predictive modeling platforms.

2. Capital Commitment

All Users agree to commit their capital for a minimum holding period of twelve (12) months unless a different agreement applies. The capital under management is subject to investment decisions that align with FINJPX’s discretion and objectives.

3. Early Withdrawal Penalties

Any early withdrawal made prior to the completion of the 12-month minimum holding period shall be subject to a penalty not less than forty-nine point ninety-seven percent (49.97%) of the principal amount withdrawn. FINJPX reserves the right to adjust such penalties at its sole discretion.

4. Eligibility and Investor Qualification

Users who do not qualify as “accredited investors” under the U.S. Securities and Exchange Commission (SEC) guidelines understand that:

  • Participation in the FINJPX platform does not guarantee SEC protection.

  • FINJPX reserves the right to request financial disclosures to verify your investment eligibility at any time.

5. Reporting and App Usage

  • Monthly reports shall be provided starting 30 days after the account creation.

  • Platform access may be limited during the first five (5) business days post-registration for calibration, onboarding, and compliance verifications.

6. Privacy, Security, and Reckless Endangerment

You agree to treat all information obtained from the platform as strictly confidential. Any unauthorized sharing or dissemination of private, internal, or client-specific data is considered reckless endangerment of client funds and shall result in monetary fines not less than 49.97% of total assets held and potential civil/criminal liability.

You must:

  • Maintain confidentiality of your FINJPX Transfer Number and Personal Identification Number (PIN).

  • Never share your PIN under any circumstances.

  • Maintain adequate security protocols for your device and platform access.

7. KYC Compliance

  • You are required to complete Know Your Customer (KYC) verification within 30 calendar days of account registration.

  • Failure to comply shall result in the immediate freezing of your funds until KYC procedures are successfully completed.

8. Returns and Risk Disclosure

  • Our preferred Annual Percentage Yield (APY) on capital invested is currently 6%, though this figure is not a guarantee.

  • All investments carry inherent risk, including the total loss of capital. Past performance is not indicative of future results.

9. Disbursement and Transfer of Funds

  • To withdraw available funds, you may use the “Disburse” button within the platform interface.

  • To transfer cash balance to your capital management account, use the “Add to my Account” feature.

  • Your cash balance is eligible for withdrawal or reinvestment within the FINJPX ecosystem, subject to availability.

10. Irrevocability of Actions

  • All actions taken within the platform, including but not limited to investments, disbursements, and account modifications are final and irreversible.

  • You waive the right to request refunds or cancellations under any circumstance.

11. Use of Account and Conduct Expectations

By using the platform, you agree:

  • Not to engage in harmful, malicious, or fraudulent behavior.

  • Not to utilize or allow third-party usage of the platform for data mining, surveillance, espionage, or account theft.

  • To hold FINJPX harmless and indemnified against any claim, loss, or damage arising from technical issues, data breaches, or third-party access.

  • You acknowledge that even a shared link to your account may lead to unauthorized access, and you agree to assume full liability for any resulting consequences.

12. Credit Access and Transfer Numbers

  • Users may be eligible for credit access from FINJPX clients or affiliated investment firms.

  • Any credit obtained through your Transfer Number is entirely your responsibility.

13. Dispute Resolution and Waiver of Jury Trial

  • All disputes, claims, or controversies shall be resolved exclusively through binding arbitration administered by JAMS in accordance with its rules.

  • By agreeing to this Agreement, you waive your right to a jury trial and agree to use arbitration as the sole legal forum for all disputes.

14. Responsibility and Technical Limitations

  • FINJPX is not responsible for technical malfunctions, including data losses, access disruptions, or transaction errors.

  • You accept full responsibility for the security of your device and network access.

15. Force Majeure and Limitation of Liability

  • FINJPX shall not be liable for failure or delay in performance due to acts of God, war, terrorism, labor disputes, governmental restrictions, natural disasters, or any cause beyond our control.

  • You agree to hold FINJPX harmless under all such scenarios, including but not limited to cyber-attacks or infrastructure failures

16. Acknowledgement by Proxy or Power of Attorney

By using this platform, you acknowledge that yourself, your sponsor, or your legally appointed power of attorney has created and approved this account and entered into this Agreement on your behalf, with your full knowledge and consent.

17. No Fiduciary Duty

You understand and agree that:

  • All decisions and participation are executed at your own discretion and risk.

18. Modification of Terms

FINJPX reserves the right to amend or update this Agreement at any time without prior notice. Any changes become effective immediately upon publication on the Platform. Continued use of the Platform constitutes your acceptance of the revised terms.

19. Governing Law and Severability

  • This Agreement shall be governed by the laws of the State of Wyoming, without regard to its conflict of laws principles.

  • If any provision herein is held unenforceable, the remaining terms shall remain in full force and effect.

20. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all previous discussions, agreements, or representations.

By accessing or using the FINJPX Platform, you affirm that you have read, understood, and agreed to be bound by all terms and conditions in this Agreement.

If you do not agree, you must immediately exit the application and cease any further use of FINJPX services.
